Welcome to AIAgentPals. By accessing or using our mobile application and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). AIAgentPals is a product of Delivery Apps Now Inc., a corporation organized under the laws of the United States ("Company," "we," "us," or "our").

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

AIAgentPals provides a mobile application that enables users to run artificial intelligence language models entirely on their local devices. The Service includes:

• On-device AI model execution using local hardware
• Custom AI agent creation and management ("Pals")
• Model downloading and management capabilities
• Offline AI interaction functionality
• Optional premium features available through in-app purchase

3. Privacy and Data Processing

4. User Accounts and Registration

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials

• Notify us immediately of any unauthorized access or security breach

5. Acceptable Use

AI models available through the Service are distributed under their respective open-source licenses. Users must comply with the license terms of any models they download and use.

7. Purchases and Payment

Certain features of the Service are available through one-time purchase ("Pro" and "Power User" tiers). By making a purchase, you agree to:

• Provide accurate and complete payment information
• Pay all charges at the prices in effect when incurred
• Acknowledge that all sales are final and non-refundable except as required by law
• Understand that purchases are platform-specific (iOS or Android) and non-transferable between platforms

Refunds are subject to Apple App Store or Google Play Store policies as applicable.

8. Third-Party Models and Content

The Service provides access to third-party AI models developed by various organizations. We do not control and are not responsible for the output, accuracy, or behavior of these models. You acknowledge that:

• AI-generated content may be inaccurate, incomplete, or misleading
• You are solely responsible for evaluating and using AI-generated content
• We make no warranties regarding the quality, accuracy, or reliability of AI models
• Model availability may change based on third-party licenses and updates

9. Device Requirements and Performance

The Service requires compatible mobile hardware to function properly. Performance varies based on:

• Device processing power and RAM capacity
• Available storage space
• Model size and quantization level
• Operating system version

We do not guarantee specific performance levels and are not liable for device-related limitations.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELIVERY APPS NOW INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Delivery Apps Now Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. Purchased licenses remain subject to applicable app store policies.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Delivery Apps Now Inc. is incorporated, without regard to its conflict of law provisions.

16. Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for matters related to intellectual property rights.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last Updated" date and, where appropriate, providing additional notice through the Service or via email.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
